1. Parties and Definitions
These Service Terms and Conditions, referred to as the “Terms,” govern services provided by Alpine Fleet Coatings LLC, referred to as “Alpine,” to the person or entity authorizing the services, referred to as the “Customer.”
For purposes of these Terms:
“Commercial Customer” means a business, dealership, commercial fleet operator, service fleet, transportation provider, contractor, or other entity obtaining services for business or organizational purposes.
“Consumer Customer” means an individual obtaining services primarily for a personally owned vehicle and for personal, family, or household purposes.
“Public Customer” means a school district, board of education, municipality, county, public authority, state or local governmental entity, or other public-sector customer.
“Quote” means the written proposal issued by Alpine that identifies the Customer, vehicles or surfaces, proposed services, scope, pricing, and other job-specific information.
“Written Authorization” means a purchase order referencing the Quote, an email, a text message, an approved change order, or another written communication clearly authorizing Alpine to proceed.
“Services” means the exterior vehicle, fleet, coating, correction, preservation, washing, evaluation, or related services identified in an accepted Quote.
“Worksite” means the customer facility, residence, yard, dealership, fleet property, or other location at which Services are performed.
2. Application of These Terms
These Terms apply to Services provided by Alpine to:
- Commercial and service fleets;
- School districts and student transportation providers;
- School bus and commercial vehicle dealerships;
- Municipal, county, and other public-sector fleets;
- Heavy-duty and on-highway fleets;
- Privately owned consumer vehicles; and
- Any other Customer whose Quote incorporates or refers to these Terms.
These Terms apply only to services performed by Alpine Fleet Coatings LLC. They do not govern services performed under another business name or by an unaffiliated provider.
Nothing in these Terms waives a Consumer Customer’s rights that cannot legally be waived. Public Customers remain subject to applicable procurement laws, constitutional restrictions, sovereign-immunity requirements, and other laws governing public contracts.
3. Acceptance of a Quote and These Terms
A Customer accepts a Quote and these Terms by:
- Issuing a purchase order that references the Quote;
- Providing Written Authorization to proceed;
- Authorizing a change in scope after work begins; or
- Permitting Alpine to begin the authorized Services after receiving the Quote and an opportunity to review these Terms.
For Consumer Customers, Written Authorization may be provided by email, text message, or another documented written method, subject to any cancellation rights or disclosures required by applicable law.
The individual issuing a purchase order or Written Authorization represents that the individual:
- Has authority to act for the Customer;
- Has authority to approve the Services;
- Has authority to provide Alpine access to the listed vehicles, surfaces, and Worksite; and
- Has reviewed or had an opportunity to review the Quote and these Terms.
Electronic records, emails, text messages, and electronic authorizations may be used to form and document the agreement.
4. Quote Validity
Unless a Quote expressly states otherwise, each Quote remains valid for 90 calendar days from its issue date.
After the validity period expires, Alpine may:
- Honor the Quote as originally issued;
- Reconfirm the pricing and availability;
- Issue a revised Quote; or
- Withdraw the Quote.
A revised Quote does not become binding until the Customer provides new Written Authorization or an acceptable revised purchase order.
5. Agreement Documents and Order of Precedence
The complete agreement may include:
- A separately negotiated written agreement expressly accepted by Alpine;
- The accepted Quote;
- Approved written change orders or scope revisions;
- The version of these Terms applicable when the Quote was delivered;
- Product-specific cure, care, warranty, or installation instructions supplied for the job; and
- An accepted Customer purchase order.
If those documents conflict, they will control in the following order:
- A separately negotiated agreement expressly accepted in writing by Alpine;
- The accepted Quote and approved written changes;
- Product-specific instructions supplied for the installation;
- These Terms; and
- Customer purchase-order terms only to the extent Alpine expressly accepts those terms in writing.
Additional or conflicting language contained in a Customer purchase order, vendor portal, procurement document, acknowledgment, or other Customer-issued document does not automatically modify Alpine’s Quote or these Terms.
Alpine may pause scheduling or performance while conflicting purchase-order language is reviewed.
For a Public Customer, a lawfully executed public contract or procurement agreement expressly accepted by Alpine may control over these Terms.
6. Service Scope
Alpine will perform only the Services and surfaces expressly identified in the accepted Quote or an approved written change.
Unless the Quote states otherwise:
- The Services are exterior-only;
- Interior detailing, carpet cleaning, seat cleaning, odor removal, interior restoration, personal-property handling, and related interior services are excluded;
- Mechanical, structural, collision, body-shop, fabrication, electrical, diagnostic, and safety-inspection services are excluded;
- Professional refinishing or repainting is excluded;
- Active leak repair, structural roof repair, corrosion repair, and substrate reconstruction are excluded; and
- Services apply only to the specifically identified vehicles, units, panels, roofs, surfaces, or quantities.
Hood-only, front-clip-only, roof-only, selected-panel, or other partial-surface work is permitted when identified in the Quote.
A general vehicle count does not automatically include every vehicle at the Worksite. The Customer is responsible for verifying the unit numbers, VINs, vehicle descriptions, quantities, surfaces, service location, and access information contained in the Quote.
7. Changes and Additional Work
Any material change in scope, quantity, vehicle list, surface, product system, preparation, scheduling requirement, or service location must be approved in writing.
If Alpine discovers a condition that could not reasonably have been confirmed when the Quote was prepared, Alpine may:
- Pause the affected portion of the Services;
- Document the condition;
- Explain why the original scope may no longer be appropriate;
- Propose a revised scope, price, schedule, or exclusion; or
- Decline the affected work.
Alpine is not required to perform unquoted work or proceed over a condition that may make the proposed Service unsafe, ineffective, incompatible, or professionally inappropriate.
Customer approval of additional work may be documented by email, text message, revised purchase order, or written change order.
8. Products and Systems
The specific coating, protection system, preparation process, or other material used for a job will be identified in the Quote or accompanying job documentation when applicable.
These Terms are product-neutral. They do not promise the use of any particular brand or product unless the Quote identifies that brand or product.
Alpine will not materially substitute the principal quoted protection system without Customer approval. Alpine may use equivalent or appropriate ancillary cleaners, preparation materials, polishing products, masking products, towels, applicators, and related supplies when those substitutions do not change the quoted service or represented protection system.
Manufacturer product descriptions are informational. The Customer’s actual rights, warranty, eligibility, registration obligations, and maintenance requirements are determined by the applicable Quote and manufacturer documents.
9. Scheduling Requirements
Before Alpine is required to schedule Services, Alpine may require:
- An accepted Quote;
- An acceptable purchase order or Written Authorization;
- A confirmed vehicle or unit list;
- A confirmed Worksite;
- A Customer contact with authority to coordinate access;
- Required facility or safety information; and
- An agreed service window.
Alpine will use commercially reasonable efforts to coordinate Services around routes, shifts, customer operations, vehicle availability, and other known constraints.
Scheduling dates and return-to-service estimates are good-faith operational estimates, not absolute guarantees.
10. Cancellations and Rescheduling
Alpine does not charge a general cancellation fee or late-cancellation penalty.
Either party may cancel or reschedule Services before work begins by providing written notice.
If Services have already begun, the Customer remains responsible for:
- Authorized Services completed before cancellation;
- Work reasonably performed in reliance on the authorization;
- Specifically approved, nonrecoverable materials or expenses; and
- Any other amount the parties approve in writing.
Recurring washing or maintenance services may be discontinued by written notice without an early-termination fee. Services already completed remain payable.
If the Customer cancels because of a valid statutory consumer cancellation right, the applicable law and any separate Notice of Cancellation will control.
11. Vehicle Availability and Remobilization
The Customer is responsible for making the agreed vehicles, surfaces, keys, access points, and work areas available at the scheduled time.
If Alpine arrives and one or more agreed vehicles or surfaces are unavailable, Alpine may:
- Complete the vehicles that are available;
- Reschedule the unavailable portion;
- Combine the unfinished work with another mutually acceptable visit; or
- Propose a reasonable additional travel or remobilization charge if a separate return trip is required.
Alpine will disclose a proposed remobilization or additional travel charge before returning and will work with the Customer to minimize unnecessary cost.
A remobilization charge is intended to recover reasonable additional travel, setup, and scheduling costs. It is not an automatic penalty.
12. Weather, Cure Conditions, and Operational Delays
Alpine may postpone, pause, or reschedule Services when weather or environmental conditions could compromise:
- Employee or public safety;
- Surface preparation;
- Product application;
- Adhesion;
- Cure;
- Finished appearance; or
- Long-term performance.
Relevant conditions may include rain, high humidity, condensation, wind, excessive heat, low temperature, direct sunlight, airborne contamination, pollen, dust, standing water, or an unsuitable surface temperature.
Alpine may also reschedule because of equipment failure, material shortage, road closure, site-access restrictions, emergency conditions, or other circumstances beyond Alpine’s reasonable control.
A reasonable delay for these reasons is not a breach of the agreement.
Alpine will communicate known delays and revised timing as promptly as reasonably practical.
13. Vehicle Downtime and Return to Service
Alpine will use commercially reasonable efforts to limit operational disruption. However, some Services require temporary removal of a vehicle from operation during:
- Washing and preparation;
- Decontamination;
- Paint correction;
- Coating application;
- Cure;
- Inspection;
- Documentation; or
- Weather-related holding periods.
Alpine does not guarantee that every job can be performed without temporarily affecting vehicle availability.
The Customer remains responsible for:
- Selecting appropriate service windows;
- Maintaining adequate operational coverage;
- Determining whether a vehicle can be temporarily removed from service; and
- Making substitute vehicles or operational arrangements when needed.
Return-to-service guidance supplied by Alpine relates to the performed surface Service. It is not a mechanical, safety, regulatory, or roadworthiness certification.
14. Worksite Access and Safety
The Customer will provide:
- Lawful access to the Worksite;
- Permission from the property owner or authorized facility representative;
- A reasonably safe service area;
- Adequate clearance around the vehicles;
- Appropriate traffic and vehicle-movement control;
- Accurate facility rules and restrictions;
- An on-site or reachable Customer contact; and
- Notice of known hazards.
Alpine may refuse to begin or may stop work when the Worksite is unsafe, unauthorized, unsuitable, or inconsistent with disclosed requirements.
The Customer must not direct or permit other personnel to move vehicles, operate equipment, wash adjacent vehicles, create airborne contamination, or otherwise interfere with the active work area in a manner that may create a safety or quality concern.
Alpine remains responsible for the safety practices, training, and protective equipment applicable to its own employees and authorized personnel.
15. Water and Power
Alpine normally arrives with the water, power, equipment, and supplies reasonably anticipated for the quoted Services.
Customer-supplied power is not required unless the Quote or Alpine’s scheduling communication specifically identifies that requirement.
If Alpine’s onboard water supply becomes unexpectedly insufficient, the Customer will, when available and legally permissible, provide reasonable backup access to a potable water source solely to replenish Alpine’s service tank and complete the scheduled work.
Alpine will request approval before using Customer-supplied water.
If suitable water is unavailable, Alpine may pause and reschedule the unfinished work without being in breach.
16. Drainage, Runoff, and Facility Requirements
The Customer is responsible for:
- Obtaining permission to perform the Services at the Worksite;
- Identifying the approved wash or service location;
- Disclosing storm drains, sanitary drains, runoff restrictions, water-use restrictions, and environmental requirements known to the Customer;
- Identifying areas in which washing or discharge is prohibited;
- Obtaining internal facility approvals; and
- Communicating site-specific rules before Alpine arrives.
Alpine remains responsible for conducting its work in accordance with laws and requirements applicable to Alpine’s operations.
Neither party is required to perform or permit Services where the proposed water-use or wash-water handling method is prohibited.
Alpine may alter, pause, or decline washing when the available Worksite does not provide a lawful or reasonable method for completing the work.
17. Vehicle Movement
The Customer will normally move and position all vehicles.
Alpine may move a vehicle on private property only when:
- The Customer provides written permission;
- The movement is reasonably necessary to perform the Services;
- The vehicle can be moved safely;
- The Customer supplies the required keys or access; and
- The Alpine driver is properly authorized and holds any license or qualification required for that vehicle, including an appropriate commercial driver’s license when legally required or required by Alpine policy.
The Customer must disclose any applicable:
- Ignition procedure;
- Battery disconnect;
- Air-brake procedure;
- Wheelchair lift;
- Interlock;
- Alarm;
- Camera system;
- Telematics requirement;
- Shutdown procedure; or
- Other vehicle-specific instruction.
Alpine may refuse to move a vehicle if authorization, licensing, operating condition, or safe movement is uncertain.
Alpine’s movement of a vehicle within a private Worksite does not constitute a mechanical inspection or confirmation that the vehicle is safe for road use.
18. Pre-Service Evaluation and Documentation
Alpine may evaluate a vehicle or surface before or during the Services through:
- Visual inspection;
- Cleaning a representative area;
- Photography or video;
- Paint-thickness measurement when appropriate;
- A controlled polishing or test area;
- Product-compatibility testing;
- Review of prior repairs or coating history; and
- Discussion with the Customer.
An evaluation is intended to determine service suitability and expected limitations. It is not a mechanical, structural, collision, environmental, warranty, or regulatory inspection.
Alpine may decline or revise work when the evaluation indicates that the surface is unsuitable or that the requested result cannot responsibly be achieved.
19. Internal Photography and Records
The Customer authorizes Alpine to photograph or record the vehicle, unit number, VIN, surface, Worksite, and visible condition when reasonably necessary for:
- Pre-service documentation;
- Scope confirmation;
- Quality control;
- Job records;
- Warranty or manufacturer registration;
- Claims administration;
- Before-and-after comparison;
- Employee training; and
- Internal business records.
Alpine will not publicly use Customer-identifying photographs, videos, vehicle information, logos, fleet markings, or Worksite imagery for advertising, social media, website content, or promotional purposes without separate written permission.
Public-use permission may be granted by email, text message, written release, or another documented written method.
Alpine’s collection and handling of personal information will also be subject to its Privacy Policy.
20. General Surface-Condition Limitations
The Customer understands that Services are performed on the vehicle or surface in its existing condition.
Unless expressly included in the Quote, Alpine is not responsible for correcting or repairing:
- Chips;
- Deep scratches;
- Dents;
- Scrapes;
- Cracks;
- Orange peel;
- Water spots or mineral etching;
- Corrosion or rust;
- Exposed primer or substrate;
- Paint overspray;
- Road paint;
- Chemical staining;
- Collision damage;
- Hail damage;
- Fire or flood damage;
- Prior repair defects;
- Manufacturer defects;
- Failing body filler;
- Failing sealant;
- Peeling or delaminating paint;
- Peeling or delaminating clear coat;
- Unstable previous coatings;
- Deteriorated decals or wraps;
- Substrate failure; or
- Damage caused by previous washing, polishing, sanding, refinishing, or chemical treatment.
A surface may show meaningful visual improvement without becoming new, flawless, uniform, or free of visible defects.
Variation among vehicles, panels, substrates, repair histories, colors, manufacturing processes, and exposure conditions may create different results even when the same process is used.
21. Paint Correction
Paint correction mechanically refines material already present on the vehicle. It does not add new paint, new color, or new automotive clear coat.
The objective is a condition-appropriate improvement in gloss, clarity, oxidation, haze, wash damage, and correctable defects.
Unless the Quote states otherwise, paint correction does not promise:
- Complete defect removal;
- A concours or show-car finish;
- Removal of every scratch;
- Factory-new color;
- Perfect panel-to-panel uniformity;
- Correction of material failure;
- Repair of peeling or delamination;
- Repair of corrosion or exposed substrate; or
- A specific numerical percentage of defect removal.
Alpine may use the least aggressive process reasonably capable of producing the approved result to preserve as much existing material as practical.
The Customer understands that every polishing process removes or refines some existing finish and that certain edges, body lines, repaired areas, raised features, thin areas, and high points may require a more conservative approach.
22. Older Paint, Single-Stage Paint, and Previous Repairs
Older, weathered, single-stage, repaired, refinished, or otherwise nonuniform paint may respond differently from newer factory paint.
The Customer understands that:
- Single-stage paint may transfer pigment during polishing;
- Previously protected areas may retain a different color from exposed areas;
- Fading may be uneven;
- Prior repairs may respond differently from factory panels;
- Film-thickness readings may not isolate individual coating layers;
- Fiberglass or composite panels may not provide usable readings with all instruments;
- A surface may regain gloss without regaining uniform color;
- Aggressive correction may not be appropriate; and
- The result may vary among panels or vehicles.
Alpine may stop or reduce correction when continued polishing could unnecessarily weaken the remaining finish.
23. Failed Paint and Professional Refinishing
Ceramic coating and paint correction require a viable, sufficiently stable existing finish.
Peeling, delamination, exposed substrate, corrosion, unstable prior repairs, broad adhesion loss, severe cracking, or material failure may require professional refinishing or repainting by a qualified refinishing facility before Alpine’s Services are appropriate.
Alpine does not represent that ceramic coating:
- Replaces automotive clear coat;
- Rebuilds missing clear coat;
- Repairs failed paint;
- Stops active delamination;
- Repairs corrosion;
- Replaces body-shop refinishing; or
- Makes an unsuitable surface suitable merely by covering it.
If a condition requiring professional refinishing is discovered, Alpine may decline the affected work or recommend that the Customer consult a qualified refinishing facility.
24. Decals, Graphics, Reflective Markings, and Accessories
The Customer must identify important, fragile, irreplaceable, or regulated decals, graphics, wraps, reflective markings, labels, cameras, sensors, lighting, trim, seals, emblems, accessories, and aftermarket components.
Pre-existing cracking, brittleness, lifting, staining, discoloration, adhesive failure, edge deterioration, fading, or improper installation is excluded unless specifically addressed in the Quote.
Alpine may decline to polish, chemically treat, mask, coat, or work directly over or adjacent to vulnerable materials.
Normal masking, washing, drying, polishing, and preparation may reveal pre-existing failure that was previously held in place by contamination, residue, or weak adhesion.
25. Ceramic Coating and Paint Protection
Ceramic coating is a surface-protection system applied over a properly prepared and viable finish.
The exact product or system, included surfaces, preparation, cure instructions, and stated warranty, if any, will be identified in the Quote or job-specific documentation.
Ceramic coating may support:
- Gloss retention;
- Easier routine cleaning;
- Reduced contamination bonding;
- Hydrophobic behavior;
- Resistance to certain environmental and chemical exposures; and
- Continued preservation of a qualified finish.
Ceramic coating does not make a surface:
- Scratch-proof;
- Chip-proof;
- Impact-proof;
- Water-spot-proof;
- Maintenance-free;
- Immune to harsh chemicals;
- Immune to improper washing;
- Immune to collision or vandalism; or
- Permanent under every operating condition.
Actual performance depends on the installed product, preparation, vehicle use, mileage, storage, washing, water quality, environmental exposure, contamination removal, and ongoing care.
26. Cure and Aftercare
The Customer must follow the product-specific written instructions supplied for the job.
Those instructions may address:
- Initial cure;
- Time before driving or moving;
- Time before exposure to water;
- Time before washing;
- Chemical exposure;
- Contaminant removal;
- Drying;
- Maintenance products;
- Inspection; and
- Reapplication after repair.
Job-specific written instructions control over general statements contained on Alpine’s website or in generic manufacturer literature.
The Customer is responsible for ensuring that drivers, wash personnel, maintenance employees, subcontractors, and other persons who may interact with the treated vehicle understand the applicable care instructions.
Failure to follow the stated care instructions may reduce performance and may affect any applicable Alpine workmanship commitment or manufacturer warranty.
27. Reflective Roof Preservation and SummitX Services
Roof-preservation Services apply only to the surfaces and system described in the Quote.
Unless expressly included, roof preservation does not repair:
- Structural roof damage;
- Active leaks;
- Unresolved water intrusion;
- Serious corrosion;
- Loose or failed roof materials;
- Damaged roof framing;
- Failing penetrations;
- Unsuitable prior coatings;
- Moisture trapped beneath existing material; or
- Mechanical or structural defects.
Alpine may require repairs, additional preparation, removal of unsuitable material, or evaluation by another qualified provider before roof-preservation work proceeds.
No universal temperature-reduction, energy-savings, leak-prevention, or service-life result is promised unless specifically stated in the Quote and supported by the applicable system documentation.
SummitX workmanship coverage, manufacturer coverage, inspection requirements, and maintenance obligations will be stated in the applicable Quote.
28. Fleet Maintenance Washing
Fleet Maintenance Washing is intended to remove ordinary exterior soil and contamination appropriate to the quoted process and maintenance interval.
Unless specifically included, a standard maintenance wash does not include:
- Interior cleaning;
- Paint correction;
- Machine polishing;
- Heavy oxidation removal;
- Mineral-etch removal;
- Water-spot correction;
- Industrial fallout correction;
- Overspray removal;
- Tar removal beyond ordinary maintenance levels;
- Rust or corrosion correction;
- Road-paint removal;
- Adhesive removal;
- Decal restoration;
- Failed-paint correction;
- Engine-bay cleaning;
- Undercarriage restoration; or
- Corrective cleaning required because of excessive accumulated neglect.
Some stains, minerals, etching, oxidation, road film, embedded contamination, and pre-existing deterioration may remain after a standard maintenance wash.
If the vehicle condition requires a process beyond the quoted maintenance wash, Alpine may recommend a separate corrective-cleaning or preservation scope.
29. Recurring Services
Recurring Services will follow the cadence, vehicle group, Worksite, and pricing identified in the Quote or separate service schedule.
Unless expressly stated otherwise:
- Recurring Services do not create a fixed long-term commitment;
- Either party may discontinue future visits by written notice;
- No early-termination fee applies;
- Services already performed remain payable;
- Pricing may be reviewed when vehicle count, location, condition, frequency, access, fuel cost, labor requirements, or scope materially changes; and
- A skipped, postponed, or rescheduled visit does not automatically cancel the entire arrangement.
Any automatic-renewal or fixed-term provision must be stated clearly and separately in the Quote or applicable agreement.
30. Manufacturer Warranties
A manufacturer warranty applies only when:
- It is expressly identified in the accepted Quote;
- The installed product and vehicle are eligible;
- The installation is performed in accordance with applicable requirements;
- Required registration is successfully completed;
- The Customer follows applicable cure and maintenance requirements;
- Required inspections, if any, are completed; and
- The claim satisfies the manufacturer’s terms.
Alpine does not independently create, enlarge, modify, interpret, or guarantee a manufacturer warranty.
Consumer passenger-vehicle warranty language does not automatically apply to commercial or fleet vehicles.
Commercial or fleet coverage will apply only when the specific product, vehicle classification, and manufacturer documents establish that coverage.
The Customer understands that a manufacturer may change its programs, terms, registration system, inspection requirements, or available remedies.
Alpine is not responsible for a manufacturer’s denial, modification, delay, discontinuation, or administration of a warranty except to the extent directly caused by Alpine’s failure to perform an obligation Alpine expressly agreed to undertake.
31. Product Registration and CARFAX
Alpine may assist with manufacturer registration when applicable.
Registration is considered complete only when the required information has been submitted successfully and a confirmation, registration number, or other manufacturer acknowledgment has been received.
Qualifying installations may be documented through CARFAX or another third-party vehicle-history system only when:
- The installed product participates in that program;
- The vehicle is eligible;
- Required information is supplied;
- Registration is successfully completed; and
- The third-party system accepts the record.
Alpine does not promise CARFAX reporting unless the Quote expressly states that the installation qualifies.
CARFAX or manufacturer registration is documentation of a reported installation. It is not a guarantee of increased resale value, market value, warranty approval, or transferability.
32. Annual Inspections and Maintenance Visits
An annual inspection is mandatory only when the applicable Quote or manufacturer warranty expressly requires it.
When an annual inspection is not required, Alpine may still recommend periodic evaluation, washing, decontamination, maintenance treatment, or performance review.
A recommended maintenance visit does not become mandatory merely because it appears in general website content or manufacturer literature.
The Customer is responsible for scheduling any required inspection within the applicable period.
Alpine is not responsible for a missed manufacturer deadline unless Alpine expressly agreed in writing to manage the deadline and failed to provide the agreed notice.
33. Repairs After Coating or Preservation Work
Collision repair, repainting, body work, panel replacement, decal replacement, sanding, polishing, chemical treatment, or other later work may remove or compromise an installed coating or preservation system.
The Customer is responsible for notifying Alpine after a treated surface is repaired or replaced.
Retreatment of a repaired or replaced area is not included unless expressly stated in the Quote or separately authorized.
Any manufacturer registration or warranty requirement related to a repaired area remains subject to the applicable manufacturer terms.
34. Workmanship-Concern Reporting Periods
The following reporting periods are intended to allow Alpine to inspect and verify workmanship concerns promptly. They do not waive rights that cannot legally be waived.
For Fleet Maintenance Washing, visible concerns relating to completion of the quoted washing scope should be reported within three business days after service.
For paint-correction and ceramic-coating installation, visible installation or workmanship concerns should be reported within 30 calendar days after completion.
For SummitX and other roof-preservation work, the applicable workmanship period will be stated in the Quote.
A latent issue that could not reasonably have been discovered during the applicable initial period must be reported promptly after discovery.
The Customer should provide photographs and relevant vehicle information when practical.
A delayed report may limit Alpine’s ability to determine whether a condition resulted from the Services, subsequent use, washing, weather, contamination, repair, collision, third-party work, or another cause.
35. Inspection of a Reported Concern
The Customer must give Alpine a reasonable opportunity to inspect a reported concern before:
- Another provider alters the affected surface;
- The affected coating or material is removed;
- Repairs are performed;
- The vehicle is sold or transferred, when reasonably avoidable; or
- Evidence of the condition is destroyed.
Alpine may inspect in person or may initially request photographs, video, maintenance records, wash information, or other documentation.
Work performed by another provider before Alpine has a reasonable opportunity to inspect may limit Alpine’s ability to verify the condition or offer a remedy.
Nothing in this section requires a Customer to delay emergency action reasonably necessary to prevent immediate safety risk or further substantial damage.
36. Remedies
If Alpine verifies that an issue resulted from Alpine’s failure to perform the accepted scope in a professional manner, Alpine may, at its reasonable option:
- Reperform the affected portion of the Services;
- Make a reasonable repair;
- Apply an appropriate corrective treatment;
- Provide a service credit;
- Refund the amount paid for the affected portion of the Services; or
- Propose another mutually acceptable resolution.
The available remedy will take into account:
- The nature of the concern;
- The original surface condition;
- The accepted scope;
- The vehicle’s use and care after service;
- Whether the surface has been altered;
- Manufacturer requirements; and
- What remedy is reasonably capable of addressing the verified issue.
Alpine is not required to provide repainting, full vehicle replacement, or an upgrade beyond the accepted scope unless Alpine separately agrees in writing.
Manufacturer claims and remedies remain governed by the applicable manufacturer terms.
37. Deposits
Alpine does not ordinarily require a deposit.
No deposit will be due unless a future Quote or separately negotiated agreement expressly states otherwise.
The absence of a deposit does not alter the Customer’s obligation to pay for authorized Services.
38. Payment Terms
Unless the Quote states otherwise:
Approved Commercial and Public Customers: Payment is due Net 30 from the invoice date.
Consumer Customers and New Commercial Customers: Payment is due upon receipt.
Alpine may approve Net 30 or another payment period for a new Commercial Customer that supplies an acceptable purchase order or otherwise qualifies for account terms.
Accepted payment methods are:
- Business check;
- ACH transfer; and
- Wire transfer.
Payment instructions will be provided on the invoice or separately through an approved Alpine communication.
The Customer should not send payment directly to an Alpine employee, technician, driver, or subcontractor unless Alpine has expressly authorized that payment method in writing.
39. Invoice Questions and Disputed Amounts
The Customer should promptly notify Alpine of any good-faith invoice question.
The notice should identify:
- The invoice number;
- The disputed item;
- The amount in question;
- The reason for the dispute; and
- Supporting documentation, when available.
The parties will work in good faith to resolve reasonable billing questions.
An invoice dispute does not excuse payment of an undisputed amount.
Alpine’s willingness to discuss timing or work with a Customer does not waive the original payment terms unless Alpine agrees to a modification in writing.
40. Interest on Past-Due Commercial Accounts
This section applies only to qualifying Commercial Customers and does not apply to Consumer Customers.
A commercial balance that has remained due and payable for at least 30 days may accrue interest at a rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is less.
To the extent permitted under Georgia law, interest may be calculated on the unpaid amount from the date the balance originally became due and payable until paid.
Alpine will make reasonable efforts to resolve billing questions before pursuing collection.
Interest will not be charged to a Public Customer where prohibited by law, public policy, procurement requirements, or an applicable public agreement.
41. Collection Costs
If an amount remains unpaid after it is due, the Customer may be responsible for reasonable collection costs, court costs, and attorney fees to the extent permitted by applicable law and any required notice procedure.
Nothing in this section permits recovery of an amount that applicable law prohibits.
42. Taxes and Exemption Documentation
Applicable sales, use, excise, environmental, governmental, or similar taxes and charges will be added when legally required.
A Customer claiming exemption must provide valid and current exemption documentation before invoicing when reasonably practical.
Alpine is not responsible for a Customer’s failure to provide correct exemption information.
43. Consumer Customer Provisions
The following additional provisions apply to Consumer Customers:
- Payment is due upon receipt unless the Quote states otherwise.
- The commercial-account interest provision does not apply.
- The Customer must own the vehicle or have authority from the owner to approve the Services.
- Written Authorization should be provided before Alpine mobilizes whenever practical.
- Nothing in these Terms waives a non-waivable consumer right or remedy.
- Any written consumer warranty will be governed by its stated terms and applicable law.
- If a transaction qualifies for a statutory cancellation period, Alpine will provide any separate disclosure or cancellation notice required by law.
- Any required statutory cancellation notice controls over an inconsistent provision in these Terms.
Alpine may delay qualifying off-premises consumer work until any applicable cancellation period has expired.
These Terms are not intended to replace any separate Notice of Cancellation that applicable law may require.
44. Public Customer Provisions
For a Public Customer:
- The Customer’s authorized procurement process controls how the agreement is approved;
- Alpine may require a valid purchase order or properly executed contract before scheduling;
- Nothing in these Terms requires a Public Customer to waive sovereign immunity or accept a provision prohibited by law;
- Interest, attorney fees, venue, indemnity, and other remedies apply only to the extent legally permitted;
- A separately negotiated public agreement expressly accepted by Alpine may modify these Terms;
- Public-records laws may apply to Quotes, invoices, communications, photographs, and other documents; and
- Alpine may identify confidential or proprietary information, but the Public Customer will determine disclosure obligations under applicable law.
45. Customer Responsibilities
The Customer is responsible for:
- Providing accurate information;
- Confirming the scope and vehicle list;
- Providing lawful access;
- Providing a safe Worksite;
- Disclosing facility requirements;
- Making vehicles available;
- Providing keys when needed;
- Identifying fragile components and special procedures;
- Following cure and aftercare instructions;
- Maintaining treated surfaces;
- Promptly reporting concerns;
- Preventing unauthorized third-party alteration before inspection;
- Maintaining insurance required for the Customer’s vehicles and operations; and
- Paying authorized invoices when due.
The Customer remains responsible for mechanical, legal, regulatory, safety, inspection, route, driver, and operating decisions relating to its vehicles.
46. Employees and Subcontractors
Alpine may perform Services through qualified owners, employees, temporary personnel, or subcontractors under Alpine’s direction.
Alpine remains responsible for managing the accepted scope.
The Customer will not knowingly bypass Alpine by directly paying or contracting outside Alpine with an Alpine employee or subcontractor to perform substantially the same Services for the same vehicles, property, Quote, lead, or service opportunity introduced, quoted, scheduled, or performed through Alpine, unless Alpine provides prior written approval.
Direct payment to Alpine personnel for Alpine-assigned work does not reduce the amount owed to Alpine unless Alpine confirms receipt and approval in writing.
This section is intended to prevent circumvention of an Alpine-originated transaction. It does not prohibit lawful general employment discussions or the hiring of an individual for a position unrelated to bypassing Alpine’s Quote, Customer relationship, or service opportunity.
Any restrictions applying to Alpine employees or subcontractors themselves will be addressed in separate personnel or subcontractor agreements.
47. Third-Party Work and Subsequent Damage
Alpine is not responsible for damage, degradation, or loss of performance caused after the Services by:
- Improper washing;
- Brush washes;
- Contaminated wash tools;
- Harsh chemicals;
- Acids or alkaline cleaners;
- Fuel, brake fluid, or industrial chemicals;
- Mineral deposits;
- Air drying;
- Collision;
- Vandalism;
- Hail;
- Flood;
- Fire;
- Road debris;
- Stone impact;
- Repair or repainting;
- Sanding or polishing;
- Decal or graphic work;
- Work performed by another provider;
- Vehicle manufacturer defects;
- Facility activity; or
- Failure to follow written care instructions.
A coating or preservation system does not prevent all physical or environmental damage.
48. No Mechanical, Safety, or Regulatory Certification
Alpine’s Services and observations do not constitute:
- A Department of Transportation inspection;
- A school bus inspection;
- A mechanical inspection;
- A structural certification;
- A collision-repair assessment;
- A roof-leak certification;
- A corrosion certification;
- A vehicle-safety determination;
- A warranty eligibility determination by the vehicle manufacturer; or
- A determination that a vehicle is fit for operation.
Conditions observed during exterior Services may be communicated to the Customer, but Alpine is not responsible for diagnosing or repairing conditions outside the accepted scope.
49. Disclaimer of Unstated Warranties
Alpine will perform the accepted Services in a professional manner consistent with the applicable Quote.
Except for an express commitment stated in the Quote or these Terms, and to the fullest extent permitted by law, Alpine disclaims warranties or representations that:
- A surface will become flawless;
- Every defect will be removed;
- Every vehicle will respond identically;
- A coating will last for a specific period not stated in the Quote;
- A manufacturer will approve a claim;
- A treatment will prevent all future deterioration;
- A vehicle will experience no downtime;
- A service will increase resale value; or
- A result will remain unchanged without proper care.
Nothing in this section limits a right that cannot legally be waived.
50. Limitation of Liability
To the fullest extent permitted by law, Alpine’s total liability arising from or relating to a particular Service will not exceed the amount actually paid to Alpine for the affected portion of that Service.
Alpine will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including:
- Lost revenue;
- Lost profits;
- Route disruption;
- Substitute vehicles;
- Rental vehicles;
- Administrative time;
- Business interruption;
- Loss of use;
- Loss of opportunity;
- Reduced resale value; or
- Reputational harm.
This limitation does not apply to liability that applicable law does not permit the parties to limit.
The Customer acknowledges that pricing is based in part on the allocation of risk stated in these Terms.
51. Force Majeure
Neither party will be liable for a delay or failure caused by circumstances beyond its reasonable control, including:
- Severe weather;
- Fire;
- Flood;
- Natural disaster;
- Government action;
- Public emergency;
- Road closure;
- Utility interruption;
- Material shortage;
- Equipment failure despite reasonable maintenance;
- Labor disruption;
- Supply-chain interruption;
- Unsafe Worksite conditions; or
- Other events that could not reasonably have been prevented.
The affected party will communicate the delay when reasonably practical and resume performance when conditions permit.
Payment remains due for Services already completed.
52. Dispute Notice and Good-Faith Discussion
Before filing a lawsuit relating to these Terms or Services, the complaining party will provide written notice describing:
- The nature of the dispute;
- The relevant Quote or invoice;
- The requested resolution; and
- Supporting information reasonably available.
The parties will allow at least 15 calendar days for good-faith management discussion unless immediate action is reasonably necessary to prevent substantial harm.
53. Mediation
If a dispute remains unresolved after the management-discussion period, the parties will participate in nonbinding mediation before filing a lawsuit.
Unless the parties agree otherwise:
- Mediation will occur in Houston County, Georgia;
- Mediation may occur remotely by mutual agreement;
- The parties will jointly select a mediator;
- Mediator fees will be divided equally; and
- Each party will bear its own attorney fees and preparation costs, subject to any later award permitted by law.
Mediation is intended to encourage resolution. The mediator does not issue a binding decision.
This mediation requirement does not prevent either party from seeking emergency injunctive relief or taking action reasonably necessary to preserve evidence, prevent immediate harm, or comply with a filing deadline.
54. Arbitration
Binding arbitration is not required under these Terms.
The parties may submit a dispute to binding arbitration only through a separate written agreement entered into after the dispute arises or through another written agreement expressly accepted by both parties.
55. Governing Law and Venue
These Terms and the Services will be governed by Georgia law, without regard to conflict-of-law principles.
Subject to the mediation requirement and any mandatory public-sector rule, any lawsuit will be filed in a court of competent jurisdiction located in Houston County, Georgia.
A Public Customer’s legally required venue or dispute procedure will control when applicable.
56. Notices
Routine operational notices may be delivered by email or text message to the contacts identified in the Quote or subsequent written communication.

The Customer is responsible for keeping its billing, operational, and legal contact information current.
57. Independent Contractor
Alpine is an independent contractor.
Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, franchise, agency, or exclusive relationship between Alpine and the Customer.
Neither party may bind the other except as expressly stated in a written agreement.
58. Assignment
The Customer may not assign an accepted Quote or these Terms to another person or entity without Alpine’s written consent.
Alpine may assign its right to receive payment or may use qualified personnel and subcontractors to perform the Services.
A permitted assignment does not expand the scope or warranty.
59. No Third-Party Beneficiaries
These Terms benefit only Alpine and the Customer.
No driver, employee, vehicle operator, passenger, manufacturer, insurer, lender, repair facility, subsequent purchaser, or other third party acquires a contractual right under these Terms unless a written agreement expressly provides otherwise.
60. Waiver
A party’s failure to enforce a provision on one occasion does not waive that provision or the right to enforce it later.
A waiver is effective only when confirmed in writing by the party granting it.
Alpine’s decision to extend payment time, waive a charge, perform courtesy work, or assist with a manufacturer claim does not create an ongoing obligation to do so.
61. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
A court may limit an unenforceable provision rather than invalidate the entire agreement when permitted.
62. Entire Agreement
The accepted Quote, approved written changes, applicable product-specific instructions, and these Terms constitute the parties’ complete agreement regarding the Services, except for a separately negotiated agreement expressly accepted by Alpine.
Prior discussions, informal estimates, website content, advertising, manufacturer marketing, and oral statements do not modify the accepted agreement unless incorporated into a written document accepted by both parties.
63. Amendments
A job-specific amendment must be in writing and accepted by both parties.
Alpine may update the public version of these Terms for future Quotes. A later website update does not retroactively modify an agreement already accepted unless both parties agree in writing.
The version applicable to a job is the version provided, linked, or otherwise made available when the relevant Quote was delivered.
Alpine may preserve an archived PDF or electronic copy of that version with its business records.
64. Electronic Records
The parties consent to the use of electronic records for Quotes, purchase orders, authorizations, change orders, invoices, notices, product instructions, registration records, and related communications.
Either party may retain and reproduce those records electronically.
A Customer may request a printable copy of these Terms.
65. Survival
Provisions concerning payment, records, confidentiality of Customer information, dispute resolution, limitation of liability, collection costs, manufacturer warranties, anti-circumvention, and other provisions that reasonably need to continue will survive completion or termination of the Services.
66. Acknowledgment
By providing a purchase order or Written Authorization, the Customer acknowledges that:
- The Customer received or had access to the Quote;
- The Customer had an opportunity to review these Terms;
- The Customer understands that surface Services have condition-dependent limitations;
- The Customer authorizes Alpine to perform the accepted scope; and
- The Customer agrees to pay the authorized charges under the applicable payment terms.
